Welcome to EZFINDA Ltd. These Terms of Service (“Terms”) govern your use of our managed IT services, consulting, and any related products or services provided by [Your Company Name] (the “Company,” “we,” “us,” or “our”). By engaging with our services, you (“Client,” “you,” or “your”) agree to comply with and be bound by these Terms.
1. Services Provided
1.1 Scope of Services
The Company will provide managed IT services as outlined in the Service Agreement signed by the Client, which may include network management, cybersecurity, cloud services, helpdesk support, IT consulting, and other related services.
1.2 Service Availability
Services will be available as specified in the Service Agreement. We strive to provide consistent and reliable services but cannot guarantee uninterrupted access due to maintenance, upgrades, or unforeseen technical issues.
1.3 Modifications to Services
We reserve the right to modify, suspend, or discontinue any part of our services at any time. Clients will be notified of any significant changes to the services provided.
2. Client Responsibilities
2.1 Access and Cooperation
The Client agrees to provide the Company with the necessary access to systems, data, and networks required to perform the services. The Client will cooperate fully and provide accurate information to facilitate the delivery of services.
2.2 Compliance with Laws
The Client agrees to comply with all applicable laws, regulations, and industry standards while using our services.
2.3 Payment Terms
The Client agrees to pay all fees associated with the services as outlined in the Service Agreement. Payments must be made on time, and any overdue payments may result in service suspension or termination.
3. Confidentiality and Data Security
3.1 Confidential Information
Both parties agree to maintain the confidentiality of any proprietary information disclosed during the term of the service. Confidential information shall not be shared with third parties without prior written consent.
3.2 Data Protection
The Company will take reasonable measures to protect the Client’s data from unauthorized access, loss, or disclosure. However, the Client acknowledges that no system is entirely immune to security breaches.
4. Limitation of Liability
4.1 No Warranty
The services are provided “as is” without any warranty of any kind, express or implied. The Company disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
4.2 Liability Limitation
In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or in connection with the services provided.
5. Term and Termination
5.1 Term
These Terms shall remain in effect until terminated by either party.
5.2 Termination for Convenience
Either party may terminate the Service Agreement with thirty (30) days’ written notice.
5.3 Termination for Cause
The Company reserves the right to terminate services immediately if the Client fails to comply with these Terms or the Service Agreement.
5.4 Effects of Termination
Upon termination, the Company will cease all services, and the Client will pay any outstanding fees for services rendered up to the termination date.
6. Dispute Resolution
6.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law principles.
6.2 Arbitration
Any disputes arising from or related to these Terms shall be resolved through binding arbitration in accordance with the laws of Jamaica. The arbitration shall take place in [Kingston, Jamaica], and the decision shall be final and binding.
7. Miscellaneous
7.1 Entire Agreement
These Terms, along with the Service Agreement, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations.
7.2 Amendments
The Company reserves the right to amend these Terms at any time. Clients will be notified of significant changes, and continued use of the services after such changes will constitute acceptance of the new Terms.
7.3 Force Majeure
The Company shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, cyberattacks, or labor disputes.
